1. Professional services and scope
Services are delivered according to the written proposal, statement of work, quotation, invoice, project brief, or other written agreement accepted by the client (collectively, the Project Agreement).
Each Project Agreement should identify, as applicable, the intended deliverables, scope, estimated timeline, price, payment schedule, revisions, client-provided materials, and acceptance criteria. The Project Agreement controls if it conflicts with these general Terms.
Any request outside the agreed scope—including additional pages, features, integrations, content, revisions, third-party tools, or support—may require a revised quote, timeline, or separate agreement before work begins.
2. Quotes, payments, and payment processors
Unless a Project Agreement states otherwise, all prices are quoted in the currency stated in the applicable proposal or invoice. A deposit, milestone payment, or payment in advance may be required before work is scheduled or started.
Payments may be collected through authorized third-party payment processors. Payment availability, approval, review, and processing times are subject to the applicable processor’s terms, policies, eligibility requirements, and compliance procedures. SolidScripts does not store complete payment-card or bank-account details.
The client is responsible for providing accurate billing information and for paying all agreed amounts when due. Any applicable bank, currency-conversion, payment-processor, transfer, or transaction fees are the client’s responsibility unless the Project Agreement expressly states otherwise.
3. Cancellations, refunds, and chargebacks
Because our services involve professional time, planning, and custom digital work, refund eligibility depends on the status of the project and the applicable Project Agreement.
- Before work begins: If the client cancels before SolidScripts has begun work, any prepaid amount may be reviewed for a refund, less non-recoverable third-party fees and any completed consultation, planning, research, or administrative work.
- After work begins: Once work has begun, payments for completed work, reserved production time, approved milestones, consultations, research, designs, code, configuration, or delivered digital materials are generally non-refundable.
- Client delay or non-response: If a client does not provide required content, access, approvals, feedback, or payment for 30 consecutive days, SolidScripts may pause the project. Restarting a paused project may require a new schedule or revised quote.
- Disputes: Clients should contact support@solidscripts.io promptly with a clear description and supporting materials so we can attempt to resolve the matter in good faith before initiating a chargeback or payment dispute.
Nothing in this section limits a refund that is required by applicable law or expressly agreed to in writing.
4. Client responsibilities
The client is responsible for providing accurate, lawful, and timely materials, including content, images, logos, credentials, access permissions, approvals, and instructions necessary to perform the services.
The client represents that it owns or has permission to use all materials it provides to SolidScripts and that such materials do not infringe third-party rights or violate applicable law. The client is responsible for reviewing deliverables and for ensuring that its final website, products, claims, privacy notices, business information, and operations comply with applicable laws and industry requirements.
5. Timelines and acceptance
Estimated timelines are good-faith estimates and depend on the client providing timely feedback, access, content, and approvals. Delays caused by the client, third parties, hosting providers, domain registrars, payment processors, platforms, or events beyond our reasonable control may extend delivery dates.
Unless the Project Agreement specifies another process, a deliverable will be considered accepted when the client approves it in writing, publishes or uses it, pays the related milestone, or does not report a material issue within seven (7) calendar days after delivery or notice of completion.
6. Intellectual property and licenses
After full payment of all amounts due for the applicable deliverable, SolidScripts assigns to the client the rights in the final custom work specifically created for that client, to the extent legally transferable and as identified in the Project Agreement.
SolidScripts retains ownership of its pre-existing materials, methodologies, source-code components, templates, libraries, know-how, tools, processes, and reusable elements. Third-party materials—including open-source software, plugins, themes, fonts, stock assets, APIs, hosting services, and platform tools—remain subject to their respective licenses and may require separate client accounts, fees, renewals, or compliance obligations.
Unless the Project Agreement states otherwise, SolidScripts may display non-confidential completed work in its portfolio or professional materials after it has become public.
7. Third-party services
Projects may rely on third-party services such as domain registrars, hosting providers, cloud platforms, plugins, APIs, payment processors, email providers, scheduling tools, social platforms, or analytics providers. SolidScripts does not control and is not responsible for the availability, changes, policies, fees, security, performance, or decisions of third-party services.
The client is responsible for maintaining ownership of its own third-party accounts whenever possible and for complying with third-party terms.
8. Security, remediation, and service limitations
For cybersecurity, malware-remediation, hosting, and technical services, SolidScripts applies reasonable professional efforts within the agreed scope. However, no service can guarantee that a system will be free from all vulnerabilities, attacks, errors, outages, data loss, search-engine actions, third-party failures, or future compromises.
Clients should maintain current backups, account recovery information, multi-factor authentication, software updates, insurance where appropriate, and independent security controls. SolidScripts is not responsible for pre-existing conditions, undisclosed access, unlicensed software, client changes, third-party incidents, or failures outside the agreed scope.
9. Confidentiality
Each party will use reasonable care to protect the other party’s non-public confidential information and will use it only for the project or as required by law. This obligation does not apply to information that is publicly available through no breach, already known lawfully, independently developed, or rightfully received from another source.
10. Disclaimer and limitation of liability
To the maximum extent permitted by law, the website and services are provided on an “as is” and “as available” basis, except as expressly stated in a written Project Agreement. SolidScripts does not guarantee a specific business result, revenue level, search-engine ranking, lead volume, platform approval, payment-processor approval, uninterrupted availability, or outcome outside the agreed scope.
To the maximum extent permitted by law, SolidScripts will not be liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages. Our total liability arising from a specific Project Agreement will not exceed the amount actually paid to SolidScripts under that Project Agreement during the three (3) months preceding the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot legally be excluded.
11. Suspension or termination
We may suspend or terminate work or access to project materials if there is non-payment, abuse, unlawful activity, a material breach of these Terms, a security risk, or a request that falls outside the agreed scope. Upon termination, the client remains responsible for all completed work, committed costs, and amounts due through the termination date.
12. Governing law and disputes
These Terms are governed by the laws of the Republic of Paraguay, without regard to conflict-of-law principles, unless a written Project Agreement specifies another governing law or mandatory consumer-protection law applies. The parties will first attempt in good faith to resolve any dispute through written communication.
13. Changes to these Terms
We may update these Terms from time to time. The effective date above will be updated when changes are published. Continued use of the website or services after publication means that you accept the updated Terms to the extent permitted by law.
